These Website Terms and Conditions (“Terms”) govern your access to and use of the website located at https://isclinstitute.org (“Site”) and all related content, features, and services made available by the Institute for Safety Coaching and Leadership LLC (“ISCL,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms and all applicable laws. If you do not agree to these Terms, you must not use the Site.

1. Scope and Application
These Terms apply to all visitors, users, Members, and participants (“Users”) who access or use the Site, including those who register for ISCL membership, events, courses, or credentialing programs.

Separate terms and policies may apply to specific ISCL programs, including:
(a) Individual Membership Terms and Conditions;
(b) Corporate Membership Terms;
(c) Privacy Policy; and
(d) Cookie Policy.

In the event of a conflict between these Terms and specific program terms, the applicable program terms will prevail.

2. Services and Offerings
ISCL provides information, resources, membership programs, credentialing opportunities, courses, events, publications, and access to a professional community (“ISCL Offerings”). Access to certain ISCL Offerings may require membership, registration, or payment.

ISCL reserves the right to modify, suspend, or discontinue any part of the Site or Offerings at any time without notice.

3. Membership and Accounts
Some portions of the Site are restricted to ISCL Members or authorized users. When creating an account, you agree to:
(a) provide accurate and complete information;
(b) maintain the confidentiality of your login credentials; and
(c) notify ISCL immediately of any unauthorized access or breach.

You are responsible for all activity that occurs under your account.

Memberships are governed by the ISCL Individual Membership Terms and Conditions and any applicable credentialing or corporate membership agreements.

4. Use of the Site
You agree to use the Site and ISCL Offerings only for lawful purposes and in accordance with these Terms. You agree not to:
(a) upload or transmit any unlawful, defamatory, or harmful material;
(b) impersonate any person or entity;
(c) interfere with or disrupt the Site’s operation;
(d) attempt to gain unauthorized access to systems, networks, or data; or
(e) use automated systems (such as bots or scrapers) to extract data from the Site.

ISCL reserves the right to suspend or terminate your access for any violation of these Terms or applicable law.

5. Acceptable Use of Community Platforms
ISCL may provide access to community spaces, such as Mighty Networks, discussion boards, or social channels. By using these platforms, you agree to:
(a) engage respectfully and professionally;
(b) avoid harassment, hate speech, or solicitation; and
(c) comply with all applicable ISCL Codes of Conduct and community guidelines.

ISCL may moderate or remove content and suspend participation at its discretion for behavior that violates these standards.

6. Intellectual Property Rights
All content, materials, design, and intellectual property displayed on or made available through the Site — including but not limited to text, graphics, logos, videos, publications, and software — are owned or licensed by ISCL and protected under applicable intellectual property laws.

Users may not copy, reproduce, distribute, modify, display, or create derivative works from any content on the Site without prior written permission from ISCL.

ISCL grants you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes consistent with these Terms.

7. Contributions, Publications, and Submissions
By submitting articles, materials, or content to ISCL (including for publication in the ISCL Journal, events, or online platforms), you grant ISCL a non-exclusive, worldwide, royalty-free license to reproduce, distribute, publicly display, and adapt such content for the purpose of promoting ISCL’s mission and activities.

Contributors retain ownership of their original work but acknowledge ISCL’s right to publish and archive it in print or digital form.

8. Events and Courses
ISCL offers virtual and in-person events, courses, and programs. Participation may require registration and payment.

All event and course registrations are subject to the applicable refund and cancellation policies published on the registration page or event materials. ISCL reserves the right to cancel or reschedule any event, with reasonable notice provided to participants.

Events and courses may be hosted on third-party platforms such as Mighty Networks or virtual meeting tools. Your participation is also subject to the terms of those platforms.

9. Corporate Memberships and Partnerships
Corporate memberships and partnerships are subject to separate terms and agreements that outline specific benefits, promotional rights, and obligations. These Terms apply to corporate representatives accessing the Site or ISCL community.

10. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by ISCL. These include, without limitation, Mighty Networks, HubSpot, Stripe, Certifier, LinkedIn, YouTube, Instagram, Twitter (X), and analytics providers.

ISCL is not responsible for the content, policies, or practices of any third-party website. Your interactions with such third parties are governed by their own terms and privacy policies.

11. Payment Terms and Refunds
Fees for membership, events, courses, or other ISCL services must be paid in full at the time of registration or renewal. All fees are quoted in U.S. dollars unless otherwise specified.

Except as required by law or explicitly stated otherwise, all payments to ISCL are non-refundable once processed. Certain memberships may include a 14-day grace period as described in the ISCL Individual Membership Terms and Conditions.

ISCL reserves the right to change pricing or payment terms at any time, with notice provided prior to renewal or new purchases.

12. Disclaimer of Warranties
The Site and ISCL Offerings are provided on an “as-is” and “as-available” basis without any warranties of any kind, whether express or implied.

ISCL does not guarantee that the Site will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, ISCL disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Information provided by ISCL, its contributors, or community members is for educational and informational purposes only and does not constitute professional, legal, medical, or safety advice.

13. Limitation of Liability
To the fullest extent permitted by law, ISCL, its officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to your use of the Site or participation in ISCL Offerings.

In no event shall ISCL’s total liability exceed the amount paid by you, if any, for access to the Site or related services during the twelve (12) months preceding the claim.

14. Indemnification
You agree to indemnify, defend, and hold harmless ISCL, its officers, employees, contractors, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from or related to:
(a) your use of the Site or ISCL Offerings;
(b) any violation of these Terms; or
(c) your infringement of any intellectual property or privacy right.

ISCL may, at its sole discretion, suspend or terminate your access to the Site or any ISCL Offering for violation of these Terms or applicable law. Provisions that by their nature should survive termination (including indemnity, limitation of liability, and intellectual property rights) shall continue in effect.

17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States of America, without regard to its conflict of laws principles.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington, for any disputes arising out of or relating to these Terms or the Site.

18. Changes to These Terms
ISCL reserves the right to modify or update these Terms at any time. Updates will be posted on the Site with the revised “Last Updated” date. Continued use of the Site after such changes constitutes acceptance of the revised Terms.
